Buyer to download and complete "NYC  Indoor Dining at Food Services Establishments - Air Filtration and Ventilation System Form" in order to comply with NY State Reopening Requirements.

Buyer to review all available federal Grant programs and apply for them online via links provided.  In most cases, theses Grants do not have to be repaid if the funds are used within the stated time frame, and meet federal guidelines for reopening businesses which have closed or suffered losses during the pandemic.

Seller agrees to provide Estimate of UV-C devices required to adequately disinfect Buyer's establishment.

Buyer agrees to provide Seller with dimensions of interior/exterior space, blueprints, layouts, contractors, etc., to perform its duties.

Buyer agrees to forward a copy of Grant Award letter to Seller immediately upon receipt of said notice. 

Payment is due upon notification of Grant Award. 

Estimates to include all products, shipping and handling, installation, and labor costs. 

Buyer may add additional  UV-C disinfection products to Estimate.

UV-C products will be shipped upon receipt of payment.

UV-C devices must be purchased by 12/31/2024.

Installation of UV-C products must be completed by July 31, 2025, as per Grant program requirements. 

Buyer indemnifies Seller against any current or future costs/losses incurred with said UV-C project, should Grant monies be rescinded by City, State or Federal agencies due to fraud or criminal actions.

Buyer to keep completed Air Filtration and Ventilation System Form on premises for NYC & NY STATE Inspection, as mandated by NYC and NY State ordinances.
